Explanation of Responses:

1. Represents 16,731 restricted stock units ("RSUs"), granted to the Reporting Person as follows: (A) On February 22, 2023, the Reporting Person was granted RSUs representing 14,750 shares that will be issued upon vesting and of which, 5,900 shares will vest on February 22, 2025, and the remaining shares will vest in substantially equal installments, over a three-year period beginning on February 22, 2026.; and (B) On April 20, 2022, Reporting Person was granted RSUs representing 1,981 shares that will be issued upon vesting and of which, 792 shares will vest on April 20, 2024, and the remaining shares will vest in substantially equal installments, over a three-year period beginning on April 20, 2025.
