Explanation of Responses:

1. Represents the number of shares withheld by and surrendered to the Issuer on April 15, 2021, to satisfy tax withholding obligations that arose in connection with the vesting of a Restricted Stock award ("RSA") for 5,000 shares. The RSA vests in four equal annual installments from April 15, 2018, subject to Mr. Sjuts' Continuous Service (as defined in the Issuer's 2014 Equity Incentive Plan) on each vesting date.
