Explanation of Responses:

1. Represents performance stock units for which target criteria was determined to have been met on October 19, 2023. The PSUs remain subject to time-based vesting. 1,212 shares vest on October 26, 2023, 1,212 shares vest on October 26, 2024 and 1,211 shares vest on October 26, 2025, subject to continued service or acceleration of vesting as provided in award agreement.

2. Award of restricted stock subject to vesting. 5,543 shares vest on October 26, 2024, 8,440 shares vest on October 26, 2025, 11,490 shares vest on October 26, 2026, 11,490 shares vest on October 26, 2027 and 11,490 shares vest on October 26, 2028, subject to continued service through each such vesting date.
