Explanation of Responses:

1. The award vests in three equal annual installments beginning on April 1, 2023. Each unit will become vested on the basis of one restricted stock unit to one share of the Company's common stock.

2. On April 15, 2022, the Compensation Committee approved an award grant to Mr. Forbes of 809 restricted stock units with the same vesting schedule as the award previously approved by the Compensation Committee on April 1, 2022.
