Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of KERN common stock.

2. Represents shares withheld for tax purposes on settlement of RSUs.

3. The RSUs were granted on December 17, 2019, and vest as follows: 18,182 on December 17, 2020; 18,182 on December 17, 2021; 18,182 on December 17, 2022; and 18,181 on December 17, 2023; provided that the RSUs shall vest immediately on a change in control. Settlement of all vested RSUs occurred on February 9, 2021.
