Explanation of Responses:

1. 1,863 shares were purchased on July 31st, 2020 at a price of $5.7375 per share under the Issuer's Employee Stock Purchase Plan.

2. Grant of 30,000 Performance-Based Restricted Stock Units, each of which represents a contingent right to receive one share of the Issuer's common stock, with vesting subject to: (a) the achievement of specified levels of the volume weighted average closing prices of the Issuer's common stock during any one hundred (100) day-period between November 10, 2020 and November 10, 2025; and (b) continued employment with the Issuer through the later of each achievement date or service vesting date, which occurs over a four (4) year-period commencing on November 10, 2020.
