1. Chardan Investments 2, LLC distributed these shares of common stock to its members, including the Reporting Person, on a pro rata basis, for no consideration.

2. Represents shares of common stock held by Chardan Investments 2, LLC. The Reporting Person is the Managing Member of Chardan Investments 2, LLC and may be deemed to have beneficial ownership of the common stock held directly by Chardan Investments 2, LLC. The Reporting Person disclaims any beneficial ownership of the reported shares other than to the extent of any pecuniary interest he may have therein, directly or indirectly.

3. Represents shares of common stock distributed to the Reporting Person from Chardan Investments 2, LLC for no consideration.
