In such examination, we have assumed the genuineness of all signatures, the authenticity of all documents submitted to us as originals, the conformity to original documents of all documents submitted to us as photostatic or certified copies and the authenticity of the originals of such copies. Based upon and subject to the foregoing, we are of the opinion that the Shares have been duly authorized by the Company, and when the 2009 Program Shares are issued in accordance with the terms of the 2009 Program and the 1996 Program Shares are issued in accordance with the terms of the 1996 Program, will be validly issued, fully paid and nonassessable.
