1. Represents restricted stock units that vest one third per year over three years on the anniversary of the date of grant.

2. 25% of the shares subject to this option vests on the one-year anniversary of the grant date with the remainder vesting in equal monthly installments for thirty-six (36) months thereafter, provided the executive continues to provide continuous services to us.
