Explanation of Responses:

1. The reporting person holds an indirect pecuniary interest in 15,555 shares of Class A Common Stock, par value $0.0001 per share ("Class A Common Stock") of the issuer through his membership interest in Water by Nordic AB (the "Sponsor"), over which he has no voting or dispositive control. The reporting person disclaims any beneficial ownership of such 15,555 shares of Class A Common Stock other than to the extent of any pecuniary interest he may have therein.

2. As described in the issuer's registration statement on Form S-1 (File No. 333- 248488) (the "Registration Statement") under the heading "Description of Securities--Founder Shares," the shares of Class B Common Stock, par value $0.0001 per share ("Class B Common Stock"), will automatically be converted into shares of Class A Common Stock, at the time of the issuer's initial business combination, on a one-for-one basis, subject to certain adjustments described therein and have no expiration date.

3. The reporting person holds an indirect pecuniary interest in 83,219 shares of Class B Common Stock of the issuer through his membership interest in the Sponsor, over which he has no voting or dispositive control. The reporting person disclaims any beneficial ownership of such 83,219 shares of Class B common stock other than to the extent of any pecuniary interest he may have therein.
