Ladies and Gentlemen, Re: REGISTRATION STATEMENT ON FORM F-3 We have acted as Israeli counsel to PainReform Ltd. (the “Company”), a company organized under the laws of the State of Israel. As such, we have participated in the preparation of the Company’s registration statement on Form F-3 (the “Registration Statement”), including the prospectus contained therein (the “Prospectus”) relating to the registration under the United States Securities Act of 1933, as amended, of the offer, issuance and sale, from time to time, of up US $50,000,000 of ordinary shares of no par value each of the Company (the “Ordinary Shares”), including in the form of warrants to purchase Ordinary Shares (the “Warrants”), including in the form of subscription rights to purchase Ordinary Shares (the “Subscription Rights” and together with the Warrants the “Other Securities”) and a combination of such securities, separately or as units, in one or more offerings. The Ordinary Shares underlying the Other Securities are referred herein as the “Other Securities Shares”. In connection herewith, we have examined the originals, or photocopies or copies, certified or otherwise identified to our satisfaction, of: (i) the form of the Registration Statement, to which this opinion letter is attached as an exhibit; (ii) the Prospectus , (iii) the articles of association of the Company, as currently in effect (the “Articles”); (iv) resolutions of the board of directors (the “Board”) of the Company which have heretofore been approved and relate to the Registration Statement, and the Prospectus; and (v) such other corporate records, agreements, documents and other instruments, and such certificates or comparable documents of public officials and of officers and representatives of the Company as we have deemed relevant and necessary as a basis for the opinions hereafter set forth. Based upon and subject to the foregoing, we are of the opinion that (i) upon payment to the Company of the consideration per Ordinary Share in such amount and form as has been determined by the Board, the Ordinary Shares, when issued and sold in an offering as described in the Registration Statement and Prospectus, will be duly authorized, validly issued, fully paid and non-assessable and (ii) the Other Securities Shares, when issued and sold by the Company and delivered by the Company against receipt of the exercise price therefor as shall be determined by the Board, in accordance with and in the manner described in the Registration Statement, will be validly issued, fully paid and non-assessable. We have further assumed that, at the time of issuance and to the extent any such issuance would exceed the maximum share capital of the Company currently authorized, the number of Ordinary Shares that the Company is authorized to issue shall have been increased in accordance with the Company’s Articles such that a sufficient number of Ordinary Shares is authorized and available for issuance under the Articles.
