Explanation of Responses:

1. This restricted stock unit ("RSU") award was granted pursuant to the Fourth Amended and Restated 2020 Equity Incentive Plan and will vest in three equal annual installments beginning on December 19, 2025. Each RSU represents the right to receive one share of common stock upon vesting in accordance with the terms of the reporting person's RSU agreement.

2. Shares retained by the Company for the payment of withholding taxes in connection with the vesting of previously granted restricted stock units.
