1. This amount represents shares of Class A Common Stock withheld to satisfy tax obligations in connection with the vesting of 11,667 shares of restricted Class A Common Stock granted on 12/31/19.

2. This amount represents 35,000 shares of restricted Class A Common Stock granted and issued under Professional Holding Corp.'s 2019 Equity Incentive Plan. The grant vests in three annual installments commencing 01/05/22. The closing market price on the date of the grant was $19.65.

3. This amount represents shares of Class A Common Stock withheld to satisfy tax obligations in connection with the vesting of 11,667 shares of restricted Class A Common Stock granted on 01/04/21.
