Explanation of Responses:

1. Reflects the sale of an aggregate of 316 shares of common stock on December 30, 2022 at the weighted average sale price of $75.8487. The prices for these sales range from $75.8482 to $75.89. The reporting person hereby undertakes to provide upon request to the SEC staff, the issuer, or a security holder of the issuer, full information regarding the number of shares and prices at which the transactions were effected.

2. Represents shares of common stock withheld by The Howard Hughes Corporation to satisfy certain tax withholding obligations upon the vesting of 374 time-based shares of restricted stock previously granted to the reporting person, consisting of 159 shares issued under the Company's 2020 Incentive Plan and 215 shares issued under the Company's 2010 Equity Incentive Plan.

3. Represents a reduction of 308 shares granted pursuant to a performance-vesting restricted stock award and previously reported, but that did not vest in accordance with the terms of the award.
