Explanation of Responses:

1. The reported shares are included within 971 units ("Units") of the Issuer purchased by the Reporting Person's spouse at a weighted average price of $10.2599 per Unit. Each such Unit consists of one share of Class A common stock of the Issuer and one-half of one redeemable warrant of the Issuer. The warrants will become exercisable, if at all, on the later of 30 days after the completion of the Issuer's initial business combination or July 7, 2021.

2. The Units were purchased in multiple transactions at prices ranging from $10.2564 to $10.26, inclusive. The Reporting Person undertakes to provide to the Issuer, any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of Units purchased at each separate price within the range set forth in this footnote.
