Item 7.01 Regulation FD Disclosure.
On June 27, 2024, Faraday Future Intelligent Electric Inc. (the “Company”) issued a press release with respect to the matters set forth in Item 8.01 below. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
The information in this Item 7.01 of this report (including Exhibit 99.1) shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section, and shall not be incorporated by reference into any registration statement or other document filed under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such filing.
Item 8.01 Other Events.
As previously disclosed, the Company requested a hearing before the Nasdaq Hearings Panel (the “Panel”) to present its plan, and request an extension, to evidence compliance with the periodic filing and minimum bid price requirements for continued listing on The Nasdaq Capital Market. The hearing was held on June 13, 2024.
By letter dated June 26, 2024, the Company was notified that the Panel had granted the Company’s request for continued listing on Nasdaq subject to the Company’s compliance with the periodic filing requirement by July 31, 2024, and the minimum bid price requirement by August 31, 2024.
The Company is taking definitive steps to timely satisfy the conditions set forth in the Panel’s decision; however, there can be no assurance that the Company will be able to do so.
