1. Acquisition of common stock upon vesting and settlement of restricted stock units (RSUs). Each RSU represents a right to receive one share of Janover Inc. common stock upon vesting of the RSU.

2. The reported closing price of Janover Inc.'s common stock on 9/6/24 was $0.46 per share of common stock.

3. Each RSU represents a contingent right to receive one share of Janover Inc. common stock.

4. One fourth (1/4th) of the RSUs vested on the one (1) year anniversary with one thirty sixth (1/36th) of the remainder number of RSUs scheduled to vest on each of the thirty-six (36), consecutive monthly vesting dates that occur after the first vesting date, which was September 7, 2023.
