As previously disclosed, on March 18, 2024, Fusion Pharmaceuticals Inc. (“Fusion”), a corporation formed under the Canada Business Corporations Act (the “CBCA”) entered into a definitive arrangement agreement (the “Arrangement Agreement”) with AstraZeneca AB, a public company with limited liability (Aktiebolag) incorporated under the laws of Sweden (“Parent”) and 15863210 Canada Inc., a corporation formed under the CBCA (“Purchaser”), under which Purchaser will acquire all of the issued and outstanding common shares of Fusion by way of a plan of arrangement under the CBCA (the “Arrangement”).
The initial 45-day review period under the Investment Canada Act during which the Minister of Innovation, Science and Industry may notify the investor of whether an order for national security review has been issued or may be issued (“Notice”) with respect to the transaction contemplated by the Arrangement Agreement (the “Transaction”) lapsed at the end of the day on May 9, 2024 without the Parent or Purchaser receiving such a Notice. By way of letter dated April 9, 2024, Purchaser previously received notice that the Transaction is not reviewable under Part IV of the Investment Canada Act.
The expiration of the initial 45-day review period under the Investment Canada Act without receipt of a Notice satisfies one of the conditions to the closing of the Arrangement Agreement, which remains subject to other customary closing conditions, including receipt of approval of Fusion’s shareholders (the “Shareholders”). The regulatory conditions to the closing of the Arrangement have been satisfied or waived.
