Remarks:

The reporting person is a member of and holds a non-controlling interest in Shipwright SPAC I, LLC (the "Sponsor"), which beneficially owns 2,803,124 shares of common stock of the Issuer. The Sponsor is controlled by its sole manager, Shipwright Partners LLC, an entity controlled by Andrew Townsend, a member of the Issuer's board of directors. The reporting person disclaims any beneficial ownership of the shares held by Shipwright SPAC I, LLC other than to the extent of any pecuniary interest he may have therein, directly or indirectly.
