1. Each Restricted Stock Unit represents a contingent right to receive one share of the Issuer's common stock.

2. The Restricted Stock Units will vest in full on September 23, 2020, and will be settled by delivery of unrestricted shares of common stock on the vesting date.

3. The Restricted Stock Units vest in two equal annual installments beginning July 1, 2020 and will be settled by delivery of unrestricted shares of common stock on the vesting date.

4. The Restricted Stock Units vest in three equal annual installments beginning July 1, 2020, and will be settled by delivery of unrestricted shares of common stock on the vesting date.
