Item 1.01. Entry into a Material Definitive Agreement.
Securities Purchase Agreement
On February 10, 2021, Assertio Holdings, Inc. (the “Company”) entered into a securities purchase agreement with certain institutional and accredited investors (the “Purchase Agreement”) relating to the offer and sale (the “Offering”) of 35,000,000 shares of Company common stock, par value $0.0001 per share (the “Common Stock”). The purchase price for one share of Common Stock is $0.98, which is higher than the "minimum price" as defined in Nasdaq Listing Rule 5635(d), based on the average Nasdaq Official Closing Price of our common stock for the five trading days immediately preceding the signing of the Purchase Agreement.
The gross proceeds to the Company from the Offering are approximately $34.3 million, before deducting the placement agent’s fees and other estimated offering expenses. The Common Stock has been registered under the Securities Act of 1933, as amended (the “Securities Act”).
Pursuant to a letter agreement, dated as of February 10, 2021, between the Company and Roth Capital Partners, LLC (the “Placement Agent”), the Company agreed to pay the Placement Agent a cash fee of 6.0% of the aggregate gross proceeds of the Offering (the “Letter Agreement”). The Company also agreed to reimburse the Placement Agent for certain expenses which shall be limited to, in the aggregate, $40,000. The Company estimates that its total expenses associated with the Offering, excluding Placement Agent fees and expenses, will be approximately $100,000.
The Offering closed on February 12, 2021. The shares of Common Stock sold in the Offering were offered and sold pursuant to a prospectus supplement dated February 10, 2021, in connection with a takedown from the Company’s shelf registration statement on Form S-3 (File No. 333-252368).
