Explanation of Responses:

1. This transaction was made pursuant to a Rule 10b5-1 trading plan adopted by the reporting person on March 11, 2022 to cover tax withholding obligations in connection with the vesting of 18,750 Restricted Stock Units. The sale occurred automatically to satisfy tax withholding obligations to be funded by a "sell to cover" transaction and does not represent a discretionary transaction by the Reporting Person.

2. The price in column 4 is a weighted average price. These shares were sold in multiple transactions ranging from $10.50 to $11.35.
