1. The reporting person transferred this stock option to MG3A, a Belgian partnership of which the reporting person is the manager and the reporting person's spouse is the successor manager.

2. This stock option vests over four years, with 25% vesting on March 7, 2025 and thereafter in equal monthly installments over the next 36 months, subject to the reporting person's continued service to the Issuer.
