Explanation of Responses:

1. Shares issued in settlement of performance-based restricted stock units granted in 2022 which vested based on the achievement of applicable metrics.

2. Includes restricted stock units scheduled to vest in the future.

3. Represents the number of shares withheld to cover federal and state tax liability for the Reporting Person incurred in connection with the vesting of the above-mentioned performance-based restricted stock units.

4. Shares of Class V common stock do not represent economic interests in the Issuer. Except as provided in the Issuer's Certificate of Incorporation or as required by applicable law, holders of Class V common stock with be entitled to one vote per share on all matters to be voted on by the Issuer's stockholders generally. Upon exchange of Class A Units of Alight Holding Company, LLC that are held by the Reporting Person, an equal number of shares of the Issuer's Class V common stock will be cancelled for no consideration.
