1. Mr. Shaeffer is Chief Executive Officer and one of five directors that comprise the board of directors of Cottonwood Residential II, Inc., the general partner of Cottonwood Residential O.P., LP. Cottonwood Residential O.P., LP owns 20,000 shares of Class A Common Stock outstanding. As an executive officer and member of the board of directors of Cottonwood Residential II, Inc., Mr. Shaeffer will have voting and investment control of the shares held by Cottonwood Residential O.P., LP.
