Explanation of Responses:

1. Reflects an initial grant of restricted stock units ("RSUs") that was made to the reporting person when he joined the Company on April 27, 2020. The RSUs vest according to the following schedule: one-third vests on April 27, 2021, an additional one-third vests on April 27, 2022, and the remaining one-third will vest on April 27, 2023, such that the RSUs will be fully vested April 27, 2023.

2. Reflects an initial non-qualified option grant that was made to the reporting person when he joined the Company on April 27, 2020. The option vests according to the following schedule: one-third vests on April 27, 2021, an additional one-third vests on April 27, 2022 and the remaining one-third will vest on April 27, 2023, such that the option will be fully vested on April 27, 2023.
