Risks Related to Participating in the Offer
Any new options granted to you in the Offer will be entirely unvested as of the new option grant date and will vest over a prescribed time period. You may not exercise these options until they vest, and such vesting generally requires that you remain in the service of ALX or its subsidiaries. If your service with us terminates for any or no reason, your unvested new options may expire automatically.
New options granted to you will be unvested as of the new option grant date and subject to a new vesting schedule. This is true even if your exchanged options are already partially or 100% vested. Vesting generally requires the passage of time and that your services to us or any of our subsidiaries continue through each vesting date. If you do not remain an employee or other service provider with us or any of our subsidiaries through each date your new options vest, you may not have the right to purchase all of the shares subject to those new options. Instead, the unvested portion of your new options generally will expire immediately upon your termination. As a result, you may not receive any value from your new options.
