Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 29, 2021, the shareholders of Eastern Bankshares, Inc. (the “Company”) approved the Eastern Bankshares, Inc. 2021 Equity Incentive Plan (the “2021 Plan”). The material terms of the 2021 Plan are summarized on pages 7-16 of the Company’s definitive proxy statement on Schedule 14A filed with the Securities and Exchange Commission on October 15, 2021 (the “Proxy Statement”), which description is incorporated by reference.
The foregoing description of the 2021 Plan does not purport to be complete and is qualified in its entirety by reference to the full text of the 2021 Plan, a copy of which will be filed as an exhibit to the Company’s Annual Report on Form 10-K for the fiscal year ended December 31, 2021.
Item 5.07 Submission of Matters to a Vote of Security Holders.
The Company held a special meeting of shareholders (the “Special Meeting”) on November 29, 2021. At the Special Meeting, the shareholders of the Company considered and acted upon a proposal to approve the 2021 Plan, as disclosed in the Proxy Statement relating to the Special Meeting. 120,450,408 shares voted for the proposal; 10,749,394 shares voted against the proposal; and 870,820 shares abstained from voting on the proposal. There were no broker non-votes on the proposal.
