Explanation of Responses:

1. 100% of the shares subject to the option shall vest on the earlier of: (i) the one-year anniversary of the grant date (May 16, 2023); or (ii) the next shareholder annual meeting, subject to the Reporting Person's continuous service through such applicable vesting date.

Remarks:

This amendment is being filed solely to correct the number of shares covered by the stock option granted on May 16, 2022, which was erroneously reported in the original Form 4 due to an administrative error.
