Explanation of Responses:

1. The reported transaction includes the following awards made in respect of the issuer's common stock, the vesting of which is subject to the reporting person's continued employment with the issuer: (i) 7,183 restricted stock units granted on July 18, 2019, which shall vest on July 18, 2022 and (ii) 5,704 restricted stock units granted on February 11, 2020, which shall vest on February 11, 2023.

2. Subject to the reporting person's continued employment with the issuer, the options will vest one-third annually over a three-year period beginning on the first anniversary of the grant date.
