Explanation of Responses:

1. Shares received pursuant to Rule 16b-3(d) in connection with sale of the membership interests in VidaCann, LLC ("VidaCann") pursuant to a Membership Interest Purchase Agreement dated August 28, 2023 by and between Planet 13 Holdings Inc. ("Planet 13"), VidaCann and the parties listed thereto (the "VidaCann Acquisition"). On May 10, 2024, the closing date of the VidaCann Acquisition, the closing price of the shares of Planet 13 on the Canadian Securities Exchange was C$0.82 per share.
