2. Reflects shares withheld to pay toward tax liability.

3. 33.3% vesting of Restricted Stock Unit award, including accumulated dividends, granted on 6/12/2023 to spouse of reporting person (employee of Tri Counties Bank, subsidiary of TriCo Bancshares). The price per share on vesting date (6/12/2024) was $37.80. This transaction was inadvertently left off the Form 4 filed by reporting person on 6/13/2024.
