Explanation of Responses:

1. Represents 7,356 restricted stock units, which will vest on February 5, 2023, and 18,000 restricted stock units, which will vest as to 50% on September 25, 2020 and the remaining 50% on March 25, 2022. Each restricted stock unit represents a contingent right to receive one share of Common Stock of the Issuer.

2. The option is vested and exercisable as to 15,000 shares, and the remaining shares will vest and become exercisable in two equal annual installments beginning on May 17, 2021.

3. The option is vested and exercisable as to 52,500 shares, and the remaining shares will vest and become exercisable on November 28, 2020.
