On June 30, 2021 (the "Closing Date"), X-icity Holdings Corporation ("X-icity") received 1,004,384 shares of the Issuer's Class A Common Stock in connection with the Issuer's business combination pursuant to that certain Business Combination Agreement, dated February 2, 2021, by and between Holicity Inc., Astra Space, Inc. and Holicity Merger Sub Inc., which shares were received in exchange for shares of Astra Space, Inc. (then a privately-held company) held by X-icity. |
| 2. X-icity is the record holder of the securities reported herein. Mr. McCaw is the Co-CEO and more than 10% owner of Pendrell Corporation ("PCO"), which owns 100% of X-icity. Mr. McCaw shares voting and investment discretion with respect to the common stock held of record by PCO. Mr. McCaw disclaims any beneficial ownership of any shares held by PCO or X-icity. |
