Explanation of Responses:

1. Pursuant to Mr. Crawford's employment agreement, as of July 1, 2020 (the "Effective Date"), Mr. Crawford is entitled to receive 715,929 restricted shares of the Issuer's common stock as a stock award. In accordance with the company's equity compensation plan, the Issuer is not required to issue any common stock under the plan until there is a registration statement in effect for such shares. Therefore, the shares covered by the employment agreement will not be issued until such registration statement is effective. At that time, one-third of the grant will vest. The remaining shares will vest in roughly equal amounts on the first and second anniversaries of the Effective Date.
