Explanation of Responses:

1. On June 30, 2020, the Reporting Person executed a Joinder Agreement pursuant to which he agreed that all shares of Common Stock will be subject to the provisions of a Stockholders Agreement that contains voting agreements. As a result, the Reporting Person is member of a Schedule 13D group that beneficially owns more than 10% of the Issuer's Common Stock.
