Graphex Group Limited (the “Company” or “we”) is a foreign private issuer with its ordinary shares listed on The Stock Exchange of Hong Kong Limited (“HKSE”) and has its American Depositary Shares (“ADSs”) listed on the NYSE American LLC stock exchange market.
In accordance with the Listing Rules of the HKSE, the Company has made an announcement for (1) the termination of the existing share award and share option scheme and (2) the proposed approval by the ordinary shareholders of the Company at an extraordinary general meeting of the Company (“EGM”) of the 2023 share award scheme in order to provide Eligible Participants (as defined in the announcement) with equity incentives in compliance with the Listing Rules of the HKSE.
