Explanation of Responses:

1. Represent shares of common stock received upon exercise of stock option awards.

2. The sales reported in this Form 4 were effected pursuant to a Rule 10b5-1 Trading Plan adopted by the Reporting Person.

3. These shares were sold in multiple transactions ranging from $550-$575. The reporting person undertakes to provide to Deckers Outdoor Corporation, any security holder of Deckers Outdoor Corporation, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth for the sales reported on this Form 4.

4. 100 percent of the underlying shares subject to the option vested on March 31, 2020 upon achievement of the performance criteria. The expiration date for these options is 4.21 years from the date of vesting.
