1. Represents restricted stock units (RSUs) automatically granted at Zuora's Annual Meeting of Stockholders on June 21, 2022. The RSUs will fully vest and convert on a one-for-one basis into shares of Zuora's Class A Common Stock on the earlier of (a) the date of Zuora's 2023 Annual Meeting of Stockholders and (b) the date that is one year following the RSU grant date, subject to continuous service through the vesting date.
