1. Represents a retention award of restricted stock units (the "RSUs"). Fifty percent (50%) of the RSUs will vest on December 1, 2024, and the remaining fifty percent (50%) of the RSUs will vest on June 1, 2025, in each case subject to continued service through the applicable vesting date and certain acceleration rights.
