In connection with the previously announced business combination between Opportunity Financial, LLC (“OppFi”) and FG New America Acquisition Corp. (“FGNA” or the “Company”), FGNA’s Chairman of the Board, Joseph Moglia, participated in an interview on Barron’s MarketBrief with Caroline Woods released on April 12, 2021. Below is an excerpt from a transcript of the interview and a social media post by Joseph Moglia with respect to the interview, which are being filed herewith as soliciting material.

Caroline Woods: Shifting to SPACs. 2021 has already seen a record 306 SPAC IPOs, raising over $99 billion so far this year. However, amid this historically high demand, the federal government could throw water on the SPAC party. The SEC is in the process of reviewing company filings and may ask for clearer disclosures and greater scrutiny compared to traditional IPOs. My next guest says that the SEC is correct to call for caution when it comes to blank check companies. Here's Joe Moglia, former Chairman and CEO of TD Ameritrade.
Joe Moglia: From the beginning of last year there’s been about 470 SPAC IPOs, my guess is half of them are going out of business. But since then, since then, from last year there’s been 107 that have actually been announced. Of the 107 that have been announced, only eight have predicted profitability for 2021, only three have been profitable since 2018, and the most profitable by the way is the one that we're involved with, OppFi. So, we have, we have announced the deal with them, but we've done that because we think that this could be a great long-term opportunity that's going to be good for them to be able to merge and go public, as well as the institutional investor base. I think too often people are not paying attention that, they want to do the deal and get out. And that's not the way we've approached this.
