Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On November 30, 2022, the Board of Directors (the “Board”) of Sonder Holdings Inc. (the “Company”), adopted amended and restated bylaws (the “Amended and Restated Bylaws”), which became effective immediately.
Among other things, the Amended and Restated Bylaws update and revise the advance notice procedures for the nomination of directors and the proposal of other business at stockholder meetings, change certain provisions relating to stockholder nominees for election as a director to address the new universal proxy rules adopted by the Securities and Exchange Commission, update requirements related to notice of adjourned stockholder meetings, remove lock-up provisions implemented in connection with the Company’s completed business combination, and make a variety of other language and conforming changes and other technical edits and updates (including to account for changes in Delaware law).
