On March 30, 2021, Cipher Mining Technologies Inc., which is party to an agreement to combine with the Company, issued a press release announcing that it appointed Patrick Kelly as Chief Operating Officer of Cipher Mining Technologies Inc. A copy of that press release is attached hereto as Exhibit 99.1
