1. These securities are Restricted Stock Units ("RSUs"). Each RSU represents a contingent right to receive one share of the Issuer's Class A Common Stock. The RSUs will vest in equal annual installments on the first three anniversaries of the grant date, provided that the Reporting Person continues employment with the Issuer as of each vest date.
