Explanation of Responses:

1. On August 7, 2023, Proterra Inc (the "Company") and its subsidiary Proterra Operating Company, Inc. (collectively, the "Debtors") filed voluntary petitions for relief under Chapter 11 of Title 11 of the United States Code in the United States Bankruptcy Court for the District of Delaware (the "Court"), thereby commencing chapter 11 cases for the Debtors. On March 6, 2024, the Court entered its order confirming the Fifth Amended Joint Chapter 11 Plan of Reorganization for Proterra Inc and its Debtor Affiliate (the "Plan"). On March 13, 2024, the Plan became effective pursuant to its terms (the "Effective Date"). On the Effective Date, pursuant to the Plan, all outstanding shares of the Company's common stock, including options, warrants, rights, restricted stock units or other securities or agreements to acquire such common stock, were cancelled and extinguished without the receipt of any consideration.
