1. Shares forfeited pursuant to the forfeiture clauses of the Stock Agreement, dated as of December 15, 2017, between Liberated Syndication Inc. (the "Company") and Laurie Sims ("Ms Sims"), as amended.

2. Shares awarded pursuant to an Unrestricted Stock Award Agreement, dated as of December 28, 2020, between the Company and Ms. Sims (the "Award").

3. Shares transferred to the Company by Ms. Sims in payment of the withholding tax liability related to the Award.
