1. The reported Class A ordinary shares were purchased as Private Placement Shares by Helix Holdings LLC (the "Sponsor") for $10.00 per share, as described under the heading "Description of Shares" in the Issuer's registration statement on Form S-1 (File No. 333- 249197).

2. Helix Holdings LLC is the record holder of the securities reported herein. Bihua Chen is the manager of Helix Holdings LLC and has voting and investment discretion with respect to the securities held of record by Helix Holdings LLC. Ms. Chen disclaims any beneficial ownership of the securities held by Helix Holdings LLC other than to the extent of any pecuniary interest she may have therein, directly or indirectly.
