Explanation of Responses:

1. The Reporting Person was granted restricted stock units ("RSUs"), which represent a contingent right to receive one share of Organon & Co. ("Organon") common stock for each RSU.

2. The total amount of the RSUs has been slightly adjusted from the Reporting Person's Form 4, dated June 4, 2021, based on the finalization of certain calculations.

3. On each of August 5, 2021 and August 5, 2022, one-third of the RSUs vested with the remaining RSUs to vest in one final installment on August 5, 2023.
