SECTION 5.18. Subordination of Junior Financing. The Obligations are “Senior Debt”, “Senior Indebtedness”, “Guarantor Senior Debt” or “Senior Secured Financing” (or any comparable term) under, and as defined in, any Junior Financing Documentation in respect of Indebtedness that is subordinated in right of payment to the Obligations.
SECTION 5.19. USA PATRIOT Act, Etc.
(a) Each Borrower and their respective Subsidiaries is in compliance in all respects with all applicable (i) Sanctions and (ii) the USA PATRIOT Act.
(b) The Borrowers represent that none of the Borrowers nor their Subsidiaries (collectively, the “Company”) nor any director, officer, nor to the Company’s best knowledge, employee, agent, affiliate or representative of the Company, is an individual or entity that is, or is owned or controlled by Persons that are:
(i) the subject of any economic or trade sanctions or restrictive measures enacted, imposed, administered or enforced by the U.S. government, including the U.S. Department of Treasury’s Office of Foreign Assets Control and the U.S. Department of State, the United Nations Security Council, the European Union or its Member States, or Her Majesty’s Treasury (“HMT”), (collectively, “Sanctions”) (any such Person is referred to herein as a “Sanctioned Person”), nor
(ii) located, organized or resident in a country or territory that is, or whose government is, the subject or target of Sanctions (including, as of the date of this Agreement, Crimea, Cuba, Iran, North Korea, and Syria (such country, a “Sanctioned Country”)).
(c) No part of the proceeds of the Loans or the Letters of Credit will, directly or indirectly, be used, or lent, contributed or otherwise made available to any Person (i) for any offer, payment, promise to pay, authorization of the payment or giving of money, or anything else of value to any Person (including, but not limited to, any governmental official or employee, political party, official of a political party, candidate for political office, or anyone else acting in an official capacity) in order to improperly obtain, retain or direct business or obtain any improper advantage, in violation of the United States Foreign Corrupt Practices Act of 1977, as amended, and the rules and regulations thereunder, applicable anti-money laundering laws, rules and regulations, or any other applicable anti-corruption or anti-bribery laws (“Anti-Corruption Laws”), (ii) for the purposes of funding, financing or facilitating any activities or business of or with any Person, or in any country or territory, that, at the time of such financing, is a Sanctioned Person or a Sanctioned Country, or (iii) in any other manner that would result in a violation of Sanctions by any Person (including any Person participating in the Loans or Letters of Credit, whether as Administrative Agent, Arranger, issuing bank, Lender, underwriter, advisor, investor, or otherwise). The Lead Borrower has implemented and maintains in effect, and will continue to implement and enforce, policies and procedures designed to ensure compliance by the Borrowers and their respective Subsidiaries and their respective directors, officers, employees and agents with applicable Anti-Corruption Laws, applicable anti-money laundering laws, rules and regulations, and Sanctions. Each Borrower and its Subsidiaries, and their directors and officers, and to the Company’s best knowledge, employees, agents, affiliates and representatives of the Company, has conducted its businesses in compliance with applicable Anti-Corruption Laws and Sanctions and the Borrowers and their respective Subsidiaries will conduct their business in a manner designed to promote and achieve compliance with such laws and with the representation and warranty contained herein.
(d) The representations and warranties given in this Section 5.19 shall only be given or deemed to be given by and apply to any Borrower to the extent that giving of and complying with such representations and warranties does not result in a violation of or conflict with or does not expose any Borrower to any liability under the Council Regulation (EC) 2271/96 (as amended from time to time) or any similar anti-boycott laws or regulations in the European Union or the United Kingdom.
