Dear Dan,
We are delighted that you have been promoted to President of Presto Automation, Inc., a Delaware corporation, including any subsidiaries or affiliates (the “Company”), on the terms and conditions set forth in this agreement (the “Agreement”).:
1.Title; Function; Duties.
a.Your title during the Term shall be President. You will have duties and responsibilities appropriate to this position, as well as other duties and responsibilities as may be assigned from time to time by the Company by (i) the CEO or the Interim CEO, as the case may be, and (ii) the Board of Directors of the Company (the “Board” and, together with the CEO or the Interim CEO, “Company Leadership”). You shall serve the Company faithfully and to the best of your ability and shall devote your full time, energy, experience and talents to the business of the Company; provided, however, that you may manage your personal investments or to engage in or serve such civic, community, charitable, educational, or religious organizations as you may select, so long as such service does not create a conflict of interest with, or interfere with the performance of, your duties hereunder or conflict with any of your other obligations to the Company.
b.You shall report directly to the CEO or the Interim CEO, as the case may be, and have a dotted reporting relationship to the Board.
2.Start Date. The term of your employment as President shall begin on March 24, 2023 (the “Start Date”) and continue until otherwise determined by the Company Leadership (the “Term”).
3.Work Location. Your work location will be Presto’s headquarters or your home office in CA (or such other location as designated by the Company from time to time), subject to required business travel.
4.Base Salary; Expenses. You will receive a base salary (“Base Salary”) at the rate of $350,000 per annum (less applicable tax withholdings and authorized deductions), payable in accordance with the Company’s regular payroll practices. Your position is classified as exempt and, therefore, you are not eligible to receive payment for overtime. You will be reimbursed for reasonable business expenses actually incurred by you in connection with your employment in accordance with the Company’s expense reimbursement policies.
5.Discretionary Bonus.
